Terms of Service & EULA

These Terms of Service and End User License Agreement (the “Terms”) govern your use of the Phones DowniPhone app and related services (the “Service”). By downloading or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. Eligibility

You must be at least 13 years old to use the Service. By using it, you represent that you meet this requirement and that the information you provide is accurate.

2. Your account

You sign in with your email address. You are responsible for activity on your account and for keeping access to your email secure. You may delete your account at any time from within the app.

3. License

Subject to these Terms, we grant you a personal, non-exclusive, non-transferable, revocable license to use the Service on Apple-branded devices you own or control, as permitted by the App Store Terms of Service. The Service is licensed, not sold, to you.

4. Acceptable use

You agree not to:

  • Upload, post, or share content that is unlawful, harmful, harassing, threatening, hateful, defamatory, or that infringes others’ rights;
  • Upload nudity, sexually explicit, or otherwise objectionable imagery, including as a profile photo;
  • Harass, bully, impersonate, or abuse other users;
  • Attempt to cheat, manipulate, or falsify session times or leaderboard standings;
  • Reverse engineer, disrupt, or attempt to gain unauthorized access to the Service.

5. User content and objectionable content

You are responsible for the content you provide, including your username, display name, and any profile photo (“User Content”). You retain ownership of your User Content and grant us a license to host and display it as needed to operate the Service.

There is zero tolerance for objectionable content or abusive users. To keep the community safe, we:

  • screen uploaded profile photos for nudity and sexually explicit content on your device before upload;
  • let you flag or report objectionable content from within the app;
  • let you block abusive users from within the app; and
  • review reports of objectionable content and act within 24 hours by removing the content and ejecting the user who provided it, where warranted.

We may remove any content and suspend or terminate any account that violates these Terms, with or without notice.

6. Termination

You may stop using the Service and delete your account at any time. We may suspend or terminate your access if you violate these Terms or to protect the Service or its users. Provisions that by their nature should survive termination will survive.

7. Disclaimers

The Service is provided “as is” and “as available,” without warranties of any kind, whether express or implied, including fitness for a particular purpose and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that time measurements will be perfectly accurate.

8. Limitation of liability

To the maximum extent permitted by law, Phones Down will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of data, arising out of or relating to your use of the Service.

9. Apple

These Terms are between you and Phones Down only, and not with Apple. Apple is not responsible for the Service or its content. To the extent the standard Apple Licensed Application End User License Agreement applies, it is incorporated by reference, and these Terms prevail where they grant you greater rights. You acknowledge:

  • Apple has no obligation to provide maintenance or support for the Service;
  • Apple is not responsible for any product warranties, whether express or implied;
  • Apple is not responsible for addressing any claims relating to the Service, including product liability, legal or regulatory compliance, or intellectual-property claims; and
  • Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you.

10. Governing law

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-laws rules.

11. Changes

We may update these Terms from time to time. When we do, we will revise the “Last updated” date above. Your continued use of the Service after changes take effect constitutes acceptance.
